These Terms of Service ("Terms") govern your access to and use of Lexilio's platform and services ("Platform"). By creating an account or using the Platform, you agree to be bound by these Terms.
If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Lexilio Inc. is incorporated in Delaware, United States.
Subject to your compliance with these Terms and payment of applicable Fees, Lexilio grants you a non-exclusive, non-transferable, revocable right to access and use the Platform during the Term for your internal business purposes only.
You are responsible for ensuring all Authorised Users comply with these Terms. You are liable for any breach by an Authorised User.
You agree not to:
Billing: Fees are billed in advance on a monthly or annual basis as selected at signup.
Payment: Payment is due within 30 days of invoice date. We accept major credit cards via Stripe.
Late Payment: Overdue amounts accrue interest at 2% per month from the due date. We reserve the right to suspend your account for non-payment after 30 days.
Taxes: All Fees are exclusive of applicable taxes. You are responsible for all sales tax, VAT, or equivalent taxes in your jurisdiction.
No Refunds: Fees are non-refundable except as required by applicable law or as set out in Section 6 (Free Trial).

NOT LEGAL ADVICE:The Platform's Output does not constitute legal advice. You should not rely on Output as a substitute for advice from qualified legal counsel. Lexilio is a software tool, not a law firm.
AI LIMITATIONS: The Platform uses AI technology which may produce errors, omissions, or inaccuracies, particularly for heavily modified or non-standard contracts. We do not guarantee the accuracy or completeness of any Output.
NO WARRANTIES:The Platform is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.
YOUR RESPONSIBILITY: You are solely responsible for all decisions made based on Platform Output. Always have a qualified professional review AI-generated outputs before making contractual decisions.
Your data: You own all Customer Data. You grant Lexilio a limited licence to process Customer Data solely to provide the Platform services to you.
No training: We do not use Customer Data to train any AI or machine learning models.
Our IP: Lexilio owns all intellectual property rights in the Platform, AI models, algorithms, and documentation.
Sub-processors: We may share Customer Data with trusted sub-processors (AWS, Railway, Supabase, Vercel, Anthropic, xAI, OpenAI, Stripe, Crisp) solely to provide the services. Full details are in our Data Processing Agreement.
Each party agrees to keep the other party's confidential information confidential and to use it only for the purposes of this agreement.
Your Customer Data is your confidential information. We will not disclose it except as necessary to provide the services or as required by law.
No consequential damages: Neither party is liable to the other for indirect, consequential, special, incidental, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, however caused.
Liability cap: Our total aggregate liability to you for any claims arising under or in connection with these Terms is limited to the total Fees paid by you in the 12 months preceding the claim.
Exceptions: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Term: This agreement begins when you create an account and continues until cancelled or terminated.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are issued for the current period.
Termination for breach: Either party may terminate immediately on written notice if the other party materially breaches these Terms and fails to remedy the breach within 30 days of written notice.
Effect of termination: On termination, your access ends immediately. You remain liable for all Fees incurred prior to termination. We will delete your Customer Data within 30 days. Sections 7, 8, 10, 11, and 12 survive termination.
Neither party is liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, government actions, internet infrastructure failures, or pandemic-related disruptions.
Governing law: These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.
Disputes: Any disputes arising under these Terms shall be resolved in the courts of Delaware, United States. You consent to the personal jurisdiction of those courts.
Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, Data Processing Agreement, and AI Disclaimer, constitute the entire agreement between the parties regarding the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Changes: We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
